Terms of Service

1. Acceptance of Terms
By accessing or using the DDAI-COMPLY platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the service.
2. Service Description
DDAI-COMPLY provides AI-powered due diligence and compliance tooling for commodity trading firms. Features include sanctions screening, vessel tracking, document verification, and audit-trail capabilities.
3. Accounts
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us immediately of unauthorized access.
4. Acceptable Use
You agree not to: (a) use the service to violate any law or regulation; (b) circumvent sanctions or compliance obligations; (c) reverse-engineer, copy, or resell the service; (d) interfere with the integrity or performance of the service.
5. Customer Data
You retain ownership of data you upload. You grant DDAI-COMPLY a limited license to process that data solely to provide the service. You represent that you have all rights necessary to upload such data.
6. Fees
Subscription fees are described in your order form. Fees are non-refundable except as required by law. We may revise pricing on renewal with reasonable notice.
7. Confidentiality
Each party will protect the other's Confidential Information using at least the standard of care it uses for its own.
8. Warranty Disclaimer
The service is provided "as is" without warranty of any kind. DDAI-COMPLY does not warrant that the service will be uninterrupted or error-free, or that compliance results will be free of false positives or negatives. Compliance decisions remain your responsibility.
9. Limitation of Liability
To the maximum extent permitted by law, DDAI-COMPLY's aggregate liability arising out of or related to these Terms will not exceed the fees paid by you in the 12 months preceding the claim. Neither party will be liable for indirect, incidental, or consequential damages.
10. Indemnification
You will indemnify DDAI-COMPLY against claims arising from your misuse of the service or breach of these Terms.
11. Termination
Either party may terminate for material breach uncured after 30 days' written notice. Upon termination, your access ends and we may delete customer data after a 30-day retrieval window.
12. Governing Law
These Terms are governed by the laws of [JURISDICTION TBD], without regard to conflicts-of-law principles.
13. Changes
We may update these Terms with reasonable notice. Continued use after changes constitutes acceptance.
